Terms of Service

1. Acceptance of Terms

By accessing and using the RedPulse website (www.redpulse.ai) and/or the RedPulse platform (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to any part of these Terms, do not use our Services.

RedPulse is operated by RedPulse Pte Ltd, incorporated in Singapore. By using our Services, you consent to these Terms and the terms of our Privacy Policy.

2. Definitions

"Platform" — The RedPulse SaaS application and related services, including Agent (AI Receptionist), Marketing (content intelligence), Clinic OS (clinic operations), and Comply (compliance tracking).
"Account" — An organization-level or clinic-level account created by a medical aesthetic clinic to access the Platform.
"User" — Any individual authorized to access an Account on behalf of a clinic.
"Content" — Includes text, images, videos, AI-generated outputs, research data, and other materials.
"XHS" — Xiaohongshu, a popular Chinese social media platform.

3. Account Registration & Security

Account Creation

You must provide accurate, complete, and current information to register for a RedPulse Account. You are responsible for the accuracy of all information in your Account. You must be at least 18 years old or have legal capacity in your jurisdiction.

Login Credentials

You agree to maintain the confidentiality of your login credentials (username, password, and any multi-factor authentication tokens). You must not share your credentials with any other person. You are responsible for all activity using your Account, whether performed by you or an authorized User. You must notify us immediately of any unauthorized access or credential compromise.

Multi-Tenant Access

The Platform supports multi-clinic access control. You may only access clinic accounts for which you are authorized. You agree to respect the roles and permissions assigned by your clinic.

4. Subscription & Payment

Free Trial

New Accounts are eligible for a 14-day free trial (where applicable). After the free trial period, you must select a paid plan or discontinue the Services.

Billing Cycle

RedPulse offers monthly and annual billing options. Billing occurs on the first day of each subscription period. By providing a credit card, debit card, or other payment method, you authorize RedPulse to process recurring charges on your behalf.

Cancellation & Refunds

You may cancel your subscription at any time with 30 days' written notice. After the 30-day notice period, your Account will be deactivated at the end of the current billing cycle. Refunds for partial months are not provided. After cancellation, you may export your data and content within 30 days.

Price Changes

RedPulse reserves the right to change pricing, but will provide at least 30 days' notice before changes take effect. If you disagree with price changes, you may cancel your subscription during the notice period.

5. Permitted Use

RedPulse is designed for compliance-first marketing by medical aesthetic clinics. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.

In particular, you agree not to:

Post any false, misleading, or unlawful content, including false medical claims or claims that violate pharmaceutical/medical device regulations
Use the Platform for fraudulent, harassing, threatening, or other improper purposes
Attempt to access or interfere with system integrity or other Users' Accounts
Upload or distribute malware, viruses, or other harmful code
Conduct large-scale data scraping or automated access without prior permission
Resell your Account to third parties or permit unauthorized commercial use

Compliance Obligation: You are responsible for ensuring that all marketing content you post on XHS and other platforms complies with advertising law, medical regulations, and consumer protection laws in all relevant jurisdictions. RedPulse Comply is designed to assist with tracking but does not guarantee full compliance. You bear full responsibility for consequences of non-compliance.

6. Intellectual Property

RedPulse Ownership

The RedPulse brand, logos, user interface design, code, functionality, reports, and all other Platform elements are owned by RedPulse or its licensors and protected by copyright, trademark, and other intellectual property laws. Except for the limited license explicitly granted herein, you are granted no rights.

License to Use

RedPulse grants you a limited, non-exclusive, non-transferable license to access and use the Platform within the scope of these Terms. You may not:

Copy, modify, or create derivative works of the Platform
Attempt to reverse engineer, decompile, or decrypt any part of the Platform
Transfer the Platform or your access to any other person

7. Content Ownership

Your Content

You retain ownership of all user-generated content you upload, create, or input in the Platform, including clinic information, patient data, and marketing briefs. By uploading content to the Platform, you grant RedPulse a limited, global, royalty-free, irrevocable license to use, store, process, and display that content to provide the Services.

AI-Generated Content

RedPulse uses AI to generate content suggestions, XHS copywriting, marketing briefs, and analytical insights. Ownership of all AI-generated outputs ("Outputs") belongs to your clinic. You are free to use, modify, publish, and distribute the Outputs without further permission. However, you acknowledge that such Outputs are AI-based, represent the best information at the time of creation, but may become outdated with later use.

Research & Data

XHS trends, competitor analysis, and market data provided via the Research module remain RedPulse property. These insights are licensed to you for internal use by your clinic only and may not be sublicensed, distributed, or sold to third parties.

8. Data Handling

RedPulse processes personal and clinic data in accordance with our Privacy Policy. For detailed information about data collection, use, storage, international transfer, and your privacy rights, please see the Privacy Policy at www.redpulse.ai/privacy.

In particular, you agree that:

RedPulse may use data from your clinic in anonymized or aggregated form for purposes of improving Services, conducting analytics, training machine learning models, and product development
You are responsible for the lawfulness and disclosure rights of any personal data you upload to RedPulse
RedPulse may share data with third-party service providers (such as cloud services, payment processors, analytics tools) who are bound by similar data protection obligations

9. Disclaimer of Warranties

The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. RedPulse hereby disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

RedPulse does not warrant that:

The Platform will be uninterrupted or error-free
Any defects will be corrected
AI-generated content will be accurate, timely, or lawful
You will achieve any specific marketing results from using the Platform

You assume all risk associated with your use of the Platform.

10. Limitation of Liability

In no event will RedPulse be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with the Platform, including but not limited to loss of data, loss of profit, business interruption, or reputational harm, even if advised of the possibility of such damages.

Except where damages are required to be awarded for RedPulse's gross breach of these Terms, RedPulse's total liability for any claim or action arising out of the Platform shall be limited to the lesser of: (a) the total amount paid by you for the relevant Services in the preceding 12 months, or (b) SGD 100.

11. Service Availability

RedPulse operates in the Google Cloud Platform (GCP) asia-southeast1 region. We make best efforts to ensure continuous availability, but currently do not provide a formal uptime SLA. Scheduled and unscheduled downtime may occur due to cloud infrastructure failures, planned maintenance, network issues, or other events.

RedPulse is not responsible for temporary interruptions of Platform access or data availability due to:

Scheduled maintenance and upgrades
Cloud provider failures
Network interruptions
Issues with your internet connection
Natural disaster or force majeure events

You are responsible for maintaining your own backups and data recovery procedures.

12. External Links

The RedPulse website and Platform may contain links to third-party websites and resources. RedPulse does not endorse, control, or accept responsibility for the content, accuracy, legality, or safety of external websites. You assume full risk when accessing external links and their content.

If you link to the RedPulse website, you agree not to do so in a manner that:

Implies endorsement of your website or product by RedPulse
Damages RedPulse brand or reputation
Violates any applicable law or our intellectual property rights

13. Termination

Termination by You

You may terminate your access to the Platform at any time by: (a) deleting your Account, (b) discontinuing use, or (c) sending written termination notice to hello@redpulse.ai. Account deletion takes effect 30 days after notice is received.

Termination by RedPulse

RedPulse may terminate or suspend your Account at any time with 30 days' written notice for:

Violation of these Terms or our Privacy Policy
Illegal or unethical use (e.g., false claims, harassment, infringement)
Cybersecurity threats or abuse
Payment delinquency exceeding 30 days
Breach of medical marketing regulations

In emergency security or compliance situations, RedPulse may immediately suspend access without 30 days' notice. You will be notified immediately.

Data Export Rights

Regardless of who initiates termination, you have the right to export your user-generated content and data within 30 days after termination. After 30 days, your data will be deleted or anonymized per our data retention policy.

14. Governing Law

These Terms and your use of the Platform shall be governed by and construed under the laws of Singapore, without regard to its conflicts of law principles. You agree to the exclusive jurisdiction of Singapore courts for any legal action or dispute arising from these Terms or your use of the Platform.

15. Severability

If any portion of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that portion shall be severed in that jurisdiction, but all other portions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and RedPulse regarding the Services and supersede all prior and contemporaneous agreements, communications, and understandings, whether written or oral.

17. Changes to Terms

RedPulse reserves the right to update or modify these Terms at any time. Any material changes to these Terms will be communicated to you at least 30 days before they take effect. Your continued use of the Platform constitutes acceptance of modified Terms. If you disagree with any changes, you may cancel your subscription within 30 days.
